Welcome to Booklah Pte Ltd! These Terms of Use ("Terms") govern your access to and use of the Booklah Pte Ltd websites (https://app.booklah.io and https://www.booklah.io), applications, and booking management platform (collectively, the "Platform") provided by Booklah Pte Ltd ("Booklah" "we," "us," or "our").
Acceptance of Terms
By accessing or using the Platform, you ("you" or "User") agree to be bound by these Terms. If you are accessing or using the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you disagree with any part of the Terms, you may not access or use the Platform.
Eligibility
You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are of legal age to form a binding contract. If you are under the age of 18, you may only use the Platform with the involvement of a parent or legal guardian.
Account Creation and Security
- 3.1 Certain features of the Platform may require you to create an account ("Account"). You are responsible for: * Providing accurate, current, and complete information during the registration process. * Maintaining the confidentiality of your Account login information. * All activity that occurs under your Account.
- 3.2 You agree to notify us immediately of any unauthorized use of your Account or any other breach of security.
User Content
- 4.1 "User Content" means any and all information and content that a User submits to, or uses with, the Platform, such as reviews, comments, photos, videos, and other materials.
- 4.2 You are solely responsible for your User Content. You represent and warrant that you own all your User Content or have all necessary rights to submit it to the Platform and grant the licenses in these Terms.
- 4.3 You grant Booklah Pte Ltd a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with the operation and promotion of the Platform.
- 4.4 You agree not to submit User Content that: * Is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or racially or ethnically offensive. * Infringes the intellectual property rights of any third party. * Impersonates any person or entity. * Contains viruses or other malicious code. * Violates these Terms or any applicable laws or regulations.
Prohibited Activities
You agree not to:
- Use the Platform for any illegal or unauthorized purpose.
- Interfere with or disrupt the operation of the Platform or the servers or networks used to operate the Platform.
- Use any data mining, robots, or similar data gathering or extraction methods.
- Attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems or networks connected to the Platform.
- Circumvent, disable, or otherwise interfere with security-related features of the Platform.
- Use the Platform in any manner that could damage, disable, overburden, or impair the Platform.
Intellectual Property Rights
The Platform and its content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Booklah Pte Ltd, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Termination
- 7.1 These Terms remain in effect while you use the Platform.
- 7.2 Booklah Pte Ltd may terminate your access to all or any part of the Platform at any time, with or without cause, with or without notice, effective immediately.
- 7.3 You may terminate these Terms at any time by ceasing to use the Platform.
Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM OR THROUGH THE PLATFORM WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. BOOKLAH PTE LTD DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOOKLAH PTE LTD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (iii) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the Platform will be governed by and construed in accordance with the laws of [Jurisdiction, e.g., Singapore], without regard to its conflict of law provisions.
Entire Agreement; Waiver
These Terms constitute the entire agreement between you and Booklah Pte Ltd relating to your access to and use of the Platform and supersede all prior or contemporaneous communications, representations, and proposals, whether oral or written, between you and Booklah Pte Ltd. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Booklah Pte Ltd's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
Notices
