These Terms of Service ("Terms") govern the access and use of Booklah.io and the Booklah app: the booking management platform ("Platform") and related services provided by Booklah Pte Ltd ("Booklah," "we," "us," or "our") by businesses and other organizations ("Clients" or "you").

  1. Acceptance of Terms

    By accessing or using the Platform, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you disagree with any part of these Terms, you may not access or use the Platform.

  2. Account Registration and Access

    1. 2.1 To access and use certain features of the Platform, you must create an account ("Account"). You must provide accurate and complete information during the registration process and keep your Account information updated. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
    2. 2.2 You may not use another person's Account without permission. You must notify us immediately of any unauthorized access to or use of your Account.
  3. Use of the Platform

    1. 3.1 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for your internal business purposes.
    2. 3.2 You are solely responsible for your and your employees' use of the Platform, including compliance with these Terms and all applicable laws and regulations.
    3. 3.3 You may not:

      • Use the Platform for any illegal or unauthorized purpose.
      • Interfere with or disrupt the Platform, our servers, or networks connected to the Platform.
      • Attempt to gain unauthorized access to any part of the Platform or any systems or networks connected to the Platform.
      • Use any device, software, or routine to interfere or attempt to interfere with the proper working of the Platform.
      • Introduce any viruses, Trojan horses, worms, or other malicious or harmful code.
      • Use the Platform to transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or other forms of solicitation.
      • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform.
      • Modify, adapt, translate, or create derivative works based on the Platform.
      • Remove any proprietary notices or labels from the Platform.
      • Frame or mirror any part of the Platform.
  4. Customer Data

    1. 4.1 You are solely responsible for the accuracy, quality, legality, and compliance of all data, information, and content uploaded, transmitted, or otherwise submitted by you or your customers to or through the Platform ("Customer Data").
    2. 4.2 You represent and warrant that you have obtained all necessary consents and permissions to collect, use, process, and disclose Customer Data in connection with your use of the Platform, and that such collection, use, processing, and disclosure comply with all applicable data protection and privacy laws.
    3. 4.3 Booklah Pte Ltd processes Customer Data on your behalf and in accordance with your instructions as a data processor. We will only access, use, process, and disclose Customer Data as necessary to provide and improve the Platform, comply with our legal obligations, or as otherwise instructed by you.
  5. Payment Terms

    1. 5.1 Fees and Billing. You agree to pay all fees and charges associated with your use of the Platform ("Fees") according to the pricing plan selected by you and any other agreements in place between you and Booklah Pte Ltd.
    2. 5.2 Payment Methods. You authorize us to charge the payment method you provide for all Fees.
    3. 5.3 Taxes. All Fees are exclusive of any applicable taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use, or withholding taxes, assessable by any jurisdiction whatsoever (collectively, "Taxes"). You are responsible for paying all Taxes associated with your use of the Platform.
  6. Intellectual Property Rights

    1. 6.1 The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Booklah Pte Ltd, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
    2. 6.2 These Terms permit you to use the Platform for your internal business purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

      • our computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
      • You may store files that are automatically cached by your web browser for display enhancement purposes only.
      • You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
    3. 6.3 If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own internal business use, provided you agree to be bound by our end user license agreement, if any, for such applications.
    4. 6.4 You must not:

      • Modify copies of any materials from this site.
      • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
      • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.
    5. 6.5 You must not access or use for any commercial purposes any part of the Platform or any services or materials available through the Platform.
  7. Confidentiality

    1. 7.1 "Confidential Information" means any and all information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances surrounding disclosure. Your Confidential Information includes Customer Data. Our Confidential Information includes the Platform and any related documentation and technology.
    2. 7.2 The Receiving Party shall not disclose Confidential Information of the Disclosing Party to any third party without the Disclosing Party's prior written consent, except as compelled by law. The Receiving Party shall protect the confidentiality of the Disclosing Party's Confidential Information in the same manner that it protects its own confidential information of a similar nature, but in no event less than reasonable care.
  8. Disclaimer of Warranties

    THE PLATFORM AND ALL SERVICES AND MATERIALS PROVIDED BY BOOKLAH PTE LTD ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BOOKLAH PTE LTD OR THROUGH THE PLATFORM WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

    BOOKLAH PTE LTD DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. BOOKLAH PTE LTD DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE PLATFORM OR MATERIALS ON THIS PLATFORM OR ON THIRD-PARTY SITES IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY, OR OTHERWISE.

  9. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOOKLAH PTE LTD, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF

  10. Indemnification

    You agree to defend, indemnify, and hold harmless Booklah Pte Ltd, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the Platform, including any data or content transmitted or received by you; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Platform caused damage to a third party.

  11. Termination

    1. 11.1 These Terms are effective unless and until terminated by either you or Booklah Pte Ltd.
    2. 11.2 You may terminate these Terms at any time by discontinuing your use of the Platform and closing your Account.
    3. 11.3 Booklah Pte Ltd may terminate these Terms or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or if we discontinue the Platform or a specific feature of the Platform. We may also terminate your access for inactivity for an extended period.
    4. 11.4 Upon termination of these Terms for any reason: (a) all licenses granted by us to you under these Terms will terminate; (b) you will immediately cease all use of the Platform; and (c) we may, but are not obligated to, delete all of your information and account data stored on our servers.
  12. Governing Law and Dispute Resolution

    These Terms and any dispute arising out of or relating to these Terms or the Platform will be governed by and construed in accordance with the laws of [Jurisdiction, e.g., Singapore], without regard to its conflict of law provisions.

  13. Entire Agreement

    These Terms constitute the entire agreement between you and Booklah Pte Ltd relating to your access to and use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Booklah Pte Ltd.

  14. Severability

    If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will be enforced.

  15. Waiver

    No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Booklah Pte Ltd to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

  16. Notices

    All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given: (i) when delivered personally; (ii) upon the fifth business day following deposit in the mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:
